Company secretarial
Nunn Hayward – we value your business
Although the office of Company Secretary has largely been abolished for private companies under the Companies Act 2006, businesses still have many responsibilities under the company secretarial ‘umbrella’, for example:
- Limited companies, community interest companies, limited liability partnerships, companies registered by guarantee and other organisations registered with Companies House are required to submit a number of documents each year to the Registrar of Companies
- When certain events occur, such as the appointment of a new director, documents need to be prepared and submitted
- In order to ensure compliance with company law and taxation legislation, it is necessary to prepare certain documents and maintain statutory records, such as the Register of Directors and Register of Shareholders
Nunn Hayward’s company secretarial service can help you keep your company fully compliant in all the necessary areas, as we undertake the following responsibilities on your behalf:
- Company formations: we deal with this electronically and can usually form your company within one working day and provide you with a Certificate of Incorporation and Memorandum and Articles of Association
- Statutory records: we maintain your company’s statutory records, such as the Register of Directors and Register of Shareholders, on our digital system
- Annual returns: we prepare and submit electronically your annual return
- Other Companies House paperwork: we prepare the other documents that are required to be submitted at Companies House and file these for you
- Dividend paperwork: we prepare dividend vouchers and related paperwork in connection with distributions made by your company
